NAMI AIR END USER LICENSE AGREEMENT
This is a legal agreement between you and NAMI, Inc. ("NAMI") regarding your use of the"NAMI AIR™" application (the "Software").
YOUR ACCESS AND USE OF THE SOFTWARE IS SUBJECT TO THE FOLLOWING END USER LICENSE AGREEMENT (THE "EULA") AND ALL APPLICABLE LAWS. BY ACCESSING OR USING ANY PART OF THE SOFTWARE, YOU ACCEPT, WITHOUT LIMITATION OR QUALIFICATION, THESE TERMS. IF YOU DO NOT AGREE WITH ALL OF THE TERMS SET FORTH BELOW, YOU MAY NOT USE ANY PORTION OF THE SOFTWARE. The EULA is between you and NAMI, and not between you and Apple Inc., though you may be subject to certain terms and conditions if you use Apple’s iTunes Store or other products.
THE SOFTWARE IS DESIGNED FOR USE BY INDIVIDUALS IN THE UNITED STATES. YOU MUST BE OVER 18 TO USE THE SOFTWARE.
Acceptance. By clicking the button below marked "Agree" or by installing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you are not entitled to use the Software and will not be able to proceed past the initial resolution or welcome screen. Your use of the Software will be subject to this EULA. This EULA is accessible from within the Software on the bottom navigation bar in the Settings section of the App.
Residents of the State of New Jersey recognize the distinction between NAMI AIR and ATTITUDES IN REVERSE, a New Jersey-based public education program as separate and non-related.
Medical Information. This Software is not designed to and does not log, record, and/or track your medical or psychological information. Content and submissions within the Software are not intended to and do not purport to cure, treat, mitigate, or diagnose a specific disease, disorder, patient state, or any specific, identifiable health condition. The Software is not to be used as a substitute for professional medical or psychological judgment, advice, diagnosis or treatment of any health condition, issue or problem.
THE SOFTWARE IS NOT INTENDED TO, AND DOES NOT, DIAGNOSE, TREAT, CURE OR PREVENT ANY DISEASE, AILMENT OR CONDITION.
Use of the Software does not create an express or implied physician-patient relationship, psychologist-patient relationship, or other professional-patient relationship. You are hereby advised to consult with a physician or other professional health care provider prior to making any decisions, or undertaking any actions or not undertaking any actions related to any health care problem or issue you might have at any time, now or in the future. In using the Software, you agree that neither NAMI nor any other party is or will be liable or otherwise responsible for any decision made or any action taken or any action not taken due to your use of any information presented through the Software or any actions resulting from use of the Software.
Restrictions. The Software and any related documentation are protected by United States copyright law and international treaty provisions. You may not copy, modify, adapt, translate into any language, distribute, or create derivative works based on the Software without the prior written consent of NAMI. You may not assign this EULA or any of the rights or licenses granted under this EULA or rent, lease, or lend the Software to any person or entity. Any attempted sublicense, transfer, or assignment in violation of this EULA is void. You acknowledge that the Software contains proprietary materials of NAMI and/or its licensors and suppliers. You agree not to decompile, disassemble, reverse engineer, or attempt to reconstruct, identify, or discover any source code, underlying ideas, underlying user interface techniques, or algorithms of the Software by any means whatsoever, except to the extent the foregoing restriction is prohibited by applicable law.
Usage Rules and Requirements. You agree that your usage of the Software shall be subject to and governed by any usage requirements established from time to time by NAMI and the Usage Rules set forth in the Apple iTunes Store. You agree to use the Software only in accordance with the foregoing requirements.
Content, Copyrights, and Trademarks. The content made available by NAMI through the Software (the "Content"), including without limitation, video, text, photos, and graphics, is protected under United States and international copyright laws, is subject to other intellectual property and proprietary rights and laws, and is owned by NAMI and/or its licensors and suppliers. The entire contents of this Software are subject to copyright protection. Copyright 2015 NAMI Inc. You may not copy, modify, publish, transmit, sell, offer for sale, license, or redistribute the Content in any way without the prior written permission of NAMI. You must abide by all copyright notices, information, or restrictions contained in or attached to any Content. The names, logos, and materials displayed in the Software constitute trademarks, trade names, service marks or logos (collectively, "Trademarks") owned by or licensed to NAMI, its affiliates, subsidiaries, or related companies. Ownership of all Trademarks and the goodwill associated therewith remains with NAMI or, in the case of licensed Trademarks, the licensor.
Digital Millennium Copyright Act ("DMCA") Notice:
Materials may be made available via the Software by third parties not within our control. We are under no obligation to, and do not, scan content posted on the Software for the inclusion of illegal or impermissible content. However, we respect the copyright interests of others. It is our policy not to permit materials known by us to infringe another party's copyright to remain on the Software.
If you believe any materials on the Software infringe a copyright, you should provide us with written notice that at a minimum contains:
(i) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
(ii) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
(iii) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
(iv) Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;
(v) A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
(vi) A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

It is our policy to terminate relationships regarding content with third parties who repeatedly infringe the copyrights of others.
Software Ownership. The Software is licensed, and not sold, to you under this EULA. You have no ownership rights in the Software, any services or functionality provided by the Software ("Services") or any related documentation. NAMI retains all right, title, and interest in and to the Software and Services (including any changes, modifications and corrections thereto) and any related documentation. Subject to the terms and conditions of this EULA, NAMI grants you a non-exclusive, non-transferable, non-assignable license (without right of sub license) to install and use one copy of the Software on your mobile device in machine executable object code form, solely for your personal use. You are permitted to use the Software in the United States only and in jurisdictions not prohibited by applicable law, subject to any exclusions or usage restrictions with respect to jurisdictions or carrier networks enforced or applied by the Software.
Personal Data Ownership. You own all data input by you into the Software. This data is securely transmitted and stored on servers controlled by NAMI. NAMI is not liable for the sharing or accessibility of individual's posts once downloaded from the Software.
Hardware and Software Compatibility. NAMI does not represent or warrant that the Software is compatible with any hardware, software or other applications, including any specific phone, tablet or computer or its operating system.
Updates to the Software. NAMI may choose to provide updates to the Software from time to time in its sole discretion. To the extent that you choose to download or use any such updates to the Software, you acknowledge that you will be bound by the version of this EULA which is applicable as of the time you download and use any such update to the Software. In addition, NAMI's distribution of the Software via third-party services (e.g., the Apple iTunes Store) may require users to download new or updated versions of the Software on a periodic basis, and you acknowledge that you will be bound by the version of this EULA which is applicable as of the time you download and use any such new or updated version of the Software. NAMI does not represent or warrant that any future updates to the Software will be compatible with any hardware, software or applications or provide the same functionality that is provided by the version of the Software then in use by you.
NAMI Stores and Monitors Your Personal Information. Information, writings, images, posts and preferences that you provide on and through use of the Software, including personal and personally identifiable information, in any format or media (Personal Information"), is automatically collected and stored by the Software. NAMI maintains the unfettered right to view, edit and delete posts at any time and at its sole discretion. NAMI has the right to disable your account at any time, which will prevent you from accessing or using the Software. NAMI will contact you through your email address should such contact be necessary.
By using certain electronic word search functionalities and tools, NAMI's Information HelpLine (1-800-950-6264; firstname.lastname@example.org) can monitor your Personal Information for purposes of determining if you may be in crisis, If a representative of NAMI's Information HelpLine determines that you may require crisis-based intervention, that representative may seek to contact you through your email address or other means to the extent they are available to the representative.
Except as set forth above, and except to support your use of the Software, NAMI will make no use of your Personal Information. NAMI reserves the right to contact you for feedback about the Software or your use of the Software.
Our collection and storage of your Personal Information through your use of the Software is at your own risk. As such, NAMI has no responsibility for the security risks associated with your Personal Information and cannot guarantee that systems that may process your Personal Information will not be breached. We encourage you to lock your device to increase the security of Personal Information.
The Software provides security username and password functionality which you are required to use. You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.
BY USING THE SOFTWARE, YOU AGREE TO THE COLLECTION, RETENTION AND PROCESSING OF PERSONAL INFORMATION AS DESCRIBED IN THIS EULA.

External Functions. Upon your request, this Software will interact with and/or provide Personal Information to native functions and features of your Apple device and/or third party applications (collectively, "External Functions") over which NAMI has no control. Your use of these External Functions is at your own risk. These External Functions include the email client and notifications native to your mobile Apple device. The Software offers you the opportunity to: (a) email reports generated by the Software using the email client on your device; and (b) receive notifications of responses to your posts or messages from moderators. NAMI has no responsibility for any of these External Functions.
Your Content. The Software and External Functions (e.g., the native email client on your device) may provide functionality through which you are able to submit information (such as data, including but not limited to your Personal Information) in connection with your use of the Software (collectively, "Submissions") and distribute such Submissions. You agree that you are solely responsible for all of your Submissions.
You represent and warrant that you own all of the Personal Information you post through the Software, that such Personal Information is true and accurate, and that you control the Personal Information if it is shared with anyone else. In addition:
- For your Personal Information that is covered by intellectual property rights, and until such time as you delete such Personal Information from the Software, you explicitly give NAMI a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any such Personal Information.
- Personal Information available through your account is deleted in a manner similar to emptying the recycle bin on a computer. Therefore, removed content may persist in backup copies for a reasonable period of time.
- Personal Information published under the Software's "PUBLIC" setting means that you are allowing everyone within your selected group to access and use that Personal Information.
NAMI has the right to modify or delete Submissions.
NAMI will cooperate with any law enforcement authorities or court order requesting or directing NAMI to disclose information relating to use of the Software and any Submissions.
Your Account. You will not transfer your account (including any Page or application you administer) to anyone without first getting our written permission.
You may delete your account at any time by accessing the Settings page in the lower right navigation. When you delete your account, your Personal Information is deleted in a manner similar to emptying the recycle bin on a computer. Therefore, removed content may persist in backup copies for a reasonable period of time.
Suspension/Termination of Account.
NAMI may suspend and/or terminate your rights with respect to the Software for any reason or for no reason at all, with or without notice to you, and at NAMI's sole discretion. Suspension and/or termination may include restricting access to and use of the App. If your rights with respect to the Software are suspended and/or terminated, you agree to make no further use of the Software during suspension or after termination. All of the terms of this EULA (excluding the license grant) will survive any termination or suspension.
If we disable your account, you will not create another one without our prior written permission.
If NAMI believes a post you have made violates these Terms, NAMI may make that post invisible to other users without notifying you. Your post will be visible to you, but will not appear for any other user.
Protecting Other People's Rights.
We respect other people's rights, and expect you to do the same through your use of the Software, including, but not limited to, the following:
- You will not post content or take any action that infringes or violates someone else's rights or otherwise violates the law.
- You will not post any information that is not true or accurate.
- You will not post any information in such a manner that implies or states that it is being posted by someone other than you.
- You will not cause physical harm to others.
- You will not intentionally cause emotional distress to others.
- You will not use NAMI's copyrights or trademarks (including NAMI AIR, the AIR Logo, #Note, Inspired Post), or any confusingly similar marks without our prior written permission.
- You will not collect information from other Software users.
- You will not post anyone's identification documents, financial information, medical information, or other health information.
- You will not post an inspired story that is commenting on a previous story. The Inspired Post feature is meant to allow you to provide a related story, not to provide the means to comment directly to a prior post. NAMI reserves the right to delete a post if it appears to be a comment on a prior post.
NAMI can remove any content or information you post if we believe that it violates this EULA. NAMI reserves the right to disable your account if you repeatedly infringe other people's intellectual property rights.
Adverse Events. NAMI is providing this Software as a public service and is not responsible for reporting adverse events related to any pharmaceutical products or medical regimens or prescriptions mentioned by users within their posts. NAMI explicitly disclaims and disavows any medical or health-related advice provided by users using the Software. NAMI expressly states that you should consult a medical or other relevant health professional before you act on any medical or health-related advice provided by any Software user.
Threat Events. NAMI is not responsible for the prevention or reaction to content posted with the Software. NAMI has the right to contact users at any time but is not liable for the behavior of users of the Software.
You agree that you will NOT engage in any of the following conduct on or through the Software:
- Post unauthorized commercial communications (such as spam).
- Collect users' content or information through any means, including through automated devices (such as harvesting bots, robots, spiders, or scrapers) without our prior permission.
- Engage in advertising or post promotional materials, "junk mail," "spam," "chain letters," and/or unlawful multi-level marketing, such as a pyramid scheme.
- Upload viruses or other malicious code.
- Solicit login information or access an account belonging to someone else.
- Bully, threaten, stalk, intimidate, harass any user or post content that promotes or encourages self-harm or violence;.
- Post content that: is defamatory, abusive, offensive, hate speech, threatening, or pornographic; including masked profanity; incites violence; or suggests nudity or graphic or gratuitous violence.
- Offer or hold any contest, giveaway, or sweepstakes.
- Do anything unlawful, misleading, malicious, or discriminatory.
- Do anything that could damage, disable, overburden, or impair the proper working or appearance of the Software, such as a denial of service attack or interference with page rendering or other functionality.
- Facilitate or encourage any violations of this EULA or NAMI's policies.
- Create an account or post any content unless you are over 18 years of age.
- Interfere with, disrupt, or inhibit other users from using the Software.
- Circumvent or attempt to circumvent any features designed to protect the Software, other users, or third parties.
If you perform any of these safety violations, we will disable your account when appropriate. NAMI reserves the right to investigate and take appropriate legal action against anyone who, in NAMI's sole discretion, engages in any of the prohibited activities.
Access to the Software and Wireless Carrier Charges. You acknowledge and agree that using the Software may require access to the internet via your wireless carrier, internet service provider or other method of internet access. You acknowledge and agree that by using the internet to use the Software, you may incur charges from your wireless carrier, internet service provider or other method of internet access, depending upon your contract or plan with your provider. You acknowledge that payment of any such charges will be your sole responsibility. You agree that your use of the Software or Services will be in accordance with all requirements of your wireless carrier, internet service provider or other method of internet access. NAMI does not control wireless or internet access. Your use of these networks may not be secure and may expose your personal information sent over such networks.
Links. The Software may contain links to third-party websites or internet resources posted by users of the software ("User Linked Sites"). The User Linked Sites are not under the control of NAMI and NAMI is not responsible for the availability, contents, or performance of any User Linked Site.
The Software may content links to third-party websites or internet resources provided by NAMI ("Linked Sites"). NAMI is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by NAMI of such Linked Site, its contents or any products or services available through such Linked Site or any association with its operators.
YOU AGREE THAT NAMI WILL HAVE NO RESPONSIBILITY OR LIABILITY FOR ANY INFORMATION, SOFTWARE, OR MATERIALS FOUND AT ANY LINKED SITE.
Disclaimer of Warranty. THE SOFTWARE IS PROVIDED "AS IS" AND "WITH ALL FAULTS" AND THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING AND REPAIR. NAMI AND ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES WITH RESPECT TO THE SOFTWARE, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR USE OR PURPOSE. NAMI AND ITS SUPPLIERS DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS IN ANY RESPECT OR BE AVAILABLE AT ALL TIMES, OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ERRORS IN THE SOFTWARE OR NONCONFORMITY TO ITS DOCUMENTATION CAN OR WILL BE CORRECTED. YOU ACKNOWLEDGE THAT THE PROVISIONS OF THIS SECTION ARE A MATERIAL INDUCEMENT AND CONSIDERATION TO NAMI AND ITS SUPPLIERS TO GRANT THE LICENSE CONTAINED IN THIS EULA AND TO PROVIDE YOU WITH ACCESS TO THE SOFTWARE.
Limitation of Liability. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT WILL NAMI OR ITS SUPPLIERS OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTIONS, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF, IN CONNECTION WITH OR RELATING TO THIS EULA, YOUR USE OF OR INABILITY TO USE THE SOFTWARE, OR YOUR USE OF OR RELIANCE ON ANY DATA YOU MAY ACCESS IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF NAMI OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification. You agree to indemnify, defend and hold harmless NAMI, its officers, directors, employees, agents, suppliers and third party partners from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation by you of this EULA, to the fullest extent allowed by law.
Exclusions. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations and disclaimers herein may not apply to you. To the extent that NAMI may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of NAMI's liability will be equal to the amount the user paid for the Software or the minimum permitted under such applicable law.
The health information in this Software and the Software itself is intended to comply with the laws and regulations of and in the United States, and the Software and the information pertaining to NAMI products is intended for use only by residents of the U.S. Other countries may have laws, regulatory requirements and medical and health practices that differ from those in the U.S. The Software, or any portion of it, is void where prohibited.
Miscellaneous. This EULA is the entire agreement between you and NAMI, and supersedes any previous oral or written communications or documents (including, if you are obtaining an update, any agreement that may have been included with an earlier version of the Software) concerning, the subject matter herein. In no event will any additional or inconsistent term in any other document submitted by you modify the terms of this EULA. This EULA is governed by the laws of the State of New York, USA. YOU HEREBY EXPRESSLY CONSENT TO EXCLUSIVE JURISDICTION AND VENUE IN THE COURTS LOCATED IN MISSOURI FOR ALL MATTERS ARISING OUT OF, RELATING TO OR IN CONNECTION WITH THIS EULA OR YOUR ACCESS OR USE OF THE SOFTWARE. This EULA will not be governed by the U.N. Convention on Contracts for the International Sale of Goods. If any provision of this EULA is found to be invalid or unenforceable, it will be enforced to the extent permissible and, to the extent invalid or unenforceable, such provision shall be deemed modified to the most limited extent necessary to be valid and enforceable, in accordance with applicable law, while still as fully as possible carrying out the intent of the original provision, and the remainder of this EULA will remain in full force and effect. Failure by NAMI to prosecute any right with respect to a default hereunder will not constitute a waiver by NAMI of the right to enforce rights with respect to the same or any other breach.
Feedback. Any suggestions, comments or other feedback provided by you to us with respect to the Software will constitute our confidential information. We will be free to use, disclose, reproduce, license and otherwise distribute, and exploit this feedback as we see fit, entirely without obligation or restriction of any kind on account of intellectual property rights or otherwise.
Through the App, you can anonymously share messages, comments and other content ("Posts") with certain other users of the App. When you provide a Post through the App, you are anonymously sharing the Post with the Group you are currently within.

Information You Provide to Us
We collect the information that you give us. For example, we collect information about you when you sign up for our App, make a Post, give feedback about the App or otherwise communicate with us. The types of information we may collect include your email address and any other information you choose to provide. If you choose not to provide certain information, such as an email address and password, we may not be able to provide the App to you.
Information We Collect Automatically When You Use the App
When you access or use our App, we automatically collect the following information about you: information about your use of the App, including the operating system version of your phone, type of phone, access times, IP address, Posts, Posts click as "loved", Posts click as "me too", Posts click as "hugs", posted #Notes and related "Inspired Posts".
Use of Information
We may use information about you for various purposes, including to:
- · Provide, maintain and improve the App.
- Provide and deliver the App you request, process transactions and send you related information, including confirmations;
- Send you notices, updates, confirmations, and support and administrative messages;
- Respond to your comments, questions and requests and provide customer service;
- Monitor and analyze trends, usage and activities in connection with our App and improve and personalize the App;
- Link or combine with information we get from others to help understand your needs and provide you with better service.
Storage of Information
The information you provide is encrypted while being transmitted to and from Parse servers. Parse is a cloud-based mobile application service. User posts are physically stored on secure Parse servers.
In the event that a minor under the age of 18 uses the Software, the minor or his parent or legal guardian may request that NAMI remove content or information posted by the minor on the Software. Upon such a request, NAMI will delete the information or provide (a) the ability to remove or request removal of content that the minor posted on the Software; and (b) notice with clear instructions on how to do so themselves. However, such removal may not remove all traces of such posting everywhere online because content or information may have been shared by others. Be aware that NAMI may not have to comply with this removal requirement if: (i) federal or state law requires that we maintain the content or information; (ii) the content was stored or posted (or reposted) by a third party other than the minor contacting NAMI; (iii) we anonymize the content or information so that the minor cannot be identified; (iv) the minor received compensation or other consideration for providing the content; or (v) the minor does not follow the instructions in this section.
Protection for Children
NAMI does not seek to collect and has no intention of collecting personal information from individuals under the age of 18. Where appropriate, we take reasonable measures to inform children not to submit such information to our site. If a child has provided us with personally identifiable information, we will use all reasonable efforts to delete such information from our database.
Sharing of Information
- With other users of the App (including some whom may not be your contacts) by providing them with your anonymous Posts and your general location.
- We may also share information (which may at times include personal information) about you as follows:
- With vendors, consultants and other service providers who need access to such information to carry out work on our behalf;
- In connection with, or during negotiations of, any merger, sale of NAMI assets, financing or acquisition of all or a portion of our business to another company;
- In response to a request for information if we believe disclosure is in accordance with any applicable law, regulation or legal process, or as otherwise required by any applicable law, rule or regulation;
- To investigate suspected fraud, harassment, physical threats, or other violations of any law, rule or regulation, the Software rules or policies, or the rights of third parties or to investigate any suspected conduct we deem improper;
- If the content of a Post can reasonably be considered illegal or unlawful (or it seems like the Post is being used to engage in, encourage or promote such activities), in which case we may report your identity to the proper authorities in order to protect the rights, property and safety of NAMI, the APP's users and/or others; and
- With your consent or at your direction, including if we notify you through our App that the information you provide will be shared in a particular manner and you provide such information.
How We Respond to Subpoenas from Courts
It is possible for us to connect your Posts with your email address and posts added within the App. This means that if a court asks us to disclose your email address or password, we may be compelled to do so. If we do happen to receive a subpoena or court order directing that we disclose your information, we will attempt contact you if reasonably feasible before we disclose any such information.
